By using the Services, you grant HOLOS a nonexclusive, worldwide, royalty-free, fully paid, sublicensable license to use, reproduce, adapt, distribute, and display your Marketing Content as needed to provide, maintain, support, and improve the Services and to deliver it to recipients or audiences you designate.

We may view or use your Marketing Content internally for:

Ensuring compliance with these Terms

Improving service quality and reliability

If you upload or import personal data from others (“Contact Data”), you represent and warrant that:

You have a lawful basis to collect, store, and use that data

You have obtained any required consents

Your data practices comply with all applicable privacy and communication laws

You—not HOLOS—are responsible for honoring all rights requests from your Contacts

HOLOS will never sell your Contact Data and will not disclose it except to fulfill the Services, comply with law, or protect the rights and safety of users.

5. Prohibited Conduct

You agree that you will not:

Harass, threaten, intimidate, or harm others

Impersonate any individual or HOLOS representative

Access accounts or systems without authorization

Interfere with the operation or security of the Services

Attempt to bypass technical controls, access limits, or authentication systems

Reverse engineer, scrape, or extract data from the Services

Upload harmful code, viruses, or malicious content

Use automated tools or bots without permission

Upload, store, or transmit unlawful, defamatory, infringing, or deceptive content

Send unsolicited or unlawful communications

Use the Services in violation of applicable privacy, data protection, or communication laws

We may suspend or restrict access to the Services if we believe you are violating these Terms or applicable law.

6. Intellectual Property Rights

All HOLOS trademarks, logos, instructional materials, video content, text, graphics, interfaces, design systems, software, and all associated intellectual property (collectively, “HOLOS Content”) are owned by or licensed to HOLOS.

You may use HOLOS Content solely for its intended purpose within the Services. You may not:

Use the Services or HOLOS Content for commercial resale

All rights not expressly granted are reserved by HOLOS.

The Services may display or integrate third-party content, tools, features, or links (“Third-Party Content”). HOLOS does not control or endorse Third-Party Content and makes no warranties regarding it.

Your interactions with third-party providers are solely between you and the provider, and their terms and policies apply.

8. Feedback

If you submit ideas, suggestions, improvements, or feedback (“Feedback”), you agree that:

9. Publicity Rights

Unless you request otherwise in writing, you grant HOLOS the right to identify you or your organization as a user or client of the Services, including the use of your name and logo in marketing materials, websites, proposals, and presentations.

11. Indemnification

12. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

HOLOS does not guarantee that the Services will be:

Uninterrupted

Error-free

Secure

Current

Available at all times

You use the Services at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law:

HOLOS is not liable for any indirect, incidental, special, punitive, or consequential damages.

HOLOS’s total liability for any claim involving the Services will not exceed $100 or the amount you paid to use the Services (whichever is greater).

Some jurisdictions do not allow certain limitations, so exclusions may not apply in specific circumstances.

14. Release

You release HOLOS from all claims and disputes arising between you and other users or third parties.

California residents waive California Civil Code § 1542 and any similar laws in other jurisdictions.

15. Data Transfers

By using the Services, you consent to the processing, transfer, and storage of your information in the United States and in any other countries where HOLOS or its service providers operate.

16. Export Controls, Sanctions, and Anti-Corruption Compliance

You agree not to use the Services if you:

Are located within an embargoed or restricted region

Are on a U.S. or international sanctions list

Intend to use the Services for unlawful or prohibited purposes

You must also comply with all applicable anti-bribery and anti-corruption laws.

17. Commercial Items (Government Use)

If the Services are accessed by a U.S. government entity, they are classified as “commercial computer software,” and all rights are limited to those expressly granted in these Terms.

18. Dispute Resolution and Arbitration

Except for small claims or intellectual property disputes, all claims arising under these Terms will be resolved by binding arbitration in Cook County, Illinois, under JAMS Streamlined Arbitration Rules.

You agree:

To waive jury trials

To bring claims only on an individual basis

That no class actions or representative actions are permitted

That arbitration claims must be brought within one (1) year

19. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois.

Any dispute not subject to arbitration will be resolved exclusively in the state or federal courts in Cook County, Illinois.

HOLOS may update these Terms at any time. Updates will be posted with a revised “Last Updated” date. Your continued use of the Services constitutes acceptance of the updated Terms.

21. Termination

HOLOS may suspend or terminate your access to the Services at any time for any reason.

Terms that reasonably should survive termination (e.g., intellectual property, indemnification, limitation of liability) will continue to apply.

22. Severability

If any portion of these Terms is deemed invalid or unenforceable, that portion will be severed and the remainder will remain in full force and effect.

23. Entire Agreement

These Terms constitute the full agreement between you and HOLOS regarding the Services and supersede any prior agreements or proposals. No additional terms submitted by you apply unless HOLOS agrees in writing.
